1. License Scope: What You Can Do

This Tier One License grants limited royalty-free commercial use rights to individuals or businesses facilitating live wellness, therapeutic, or meditative sessions under the conditions outlined below.

• Resell, sublicense, transfer, or share the audio files or license outside your organization, including embedding the tracks in paid offerings such as online courses, digital products, or subscription-based programs.
  ✅ You may include the tracks in free or gifted offerings, such as free courses or opt-in programs, provided credit is clearly given to Best Binaurals (e.g., “Music by Best Binaurals”).

• Distribute or upload the track(s) as standalone audio files on public platforms (e.g., Insight Timer, YouTube, Spotify, SoundCloud), or make them available for download.
  ✅ Tracks may be included in live session replays or free video content as part of your service delivery, provided the music is not the main focus and proper credit is given.

• Claim copyright ownership of the music or register it with any rights management service (e.g., Content ID, PROs).
  ✅ All Tier 1 usage is covered under a non-exclusive, royalty-free license. You must not present the music as your own creation.

• Modify, remix, or edit the tracks beyond the scope of any approved paid add-on services, unless otherwise agreed in writing.

This license is designed to support your live wellness work while protecting the energetic integrity and exclusivity of the tracks.

2. Restrictions: What You Cannot Do

To preserve the quality, integrity, and ownership of our work, the following uses are not permitted under this Tier One License:

You may not:

• Record, duplicate, or redistribute the track(s) in any format (audio or video).

• Use the track(s) in pre-recorded content, including:
  • Online courses (paid)

  • Audio programs (paid)

  • Replays of sessions (paid)

  • YouTube videos, podcasts, or livestream replays

• Include the track(s) in paid offerings, including but not limited to:
  • Paid courses or programs

  • Memberships or coaching containers

  • Subscription platforms

• Add the track(s) to digital products for resale, including:
  • Apps

  • Downloadable meditations

  • Online course bundles

• Use the track(s) in live group sessions with more than 15 participants.

• Modify, remix, loop, or edit the track(s), either independently or with a third party.

• Customize the track(s) with branding or white-labeling.

• Resell, sublicense, transfer, or share the license or audio file(s) with others.

• Upload the track(s) to any public platform (e.g., Insight Timer, YouTube, Spotify, SoundCloud) under your own or any third-party name.

3. License Specifics

• License Type: Non-exclusive, non-transferable, limited commercial use

• Usage Rights: For live, real-time delivery only in individual or small group settings

• Territory: Worldwide

• Duration: Lifetime, provided terms are not violated

• Attribution: Required for free/gifted programs and courses; optional in live sessions

4. Ownership & Intellectual Property

All tracks remain the sole and exclusive property of Best Binaurals and are protected by international copyright law. This license does not grant ownership of the track(s), music, or any intellectual property. You are granted use rights only as described herein.

5. Violation & Termination

Violation of any license terms will result in:

• Immediate termination of your license with no refund

• Potential legal action or claims for damages due to unauthorized use

• Permanent disqualification from accessing future Best Binaurals licenses or services

6. Upgrades & Additional Licensing Options

To use our music in any of the following ways, you will need to upgrade your license to Tier Two or Tier Three:

• In paid programs or courses

• As part of pre-recorded offerings

• In retreats, events, or public sessions with more than 15 participants

• For inclusion in apps, online bundles, or other resellable digital products

• For track modifications or custom branding

All licensed tracks are provided “as-is” with no guarantees or warranties. Best Binaurals assumes no liability for any direct or indirect outcomes resulting from the use or misuse of our content. 8. Governing Law

This License Agreement shall be governed by and interpreted in accordance with the laws of England, without regard to its conflict of law principles.

Tier Two (Professional) License Agreement

1. License Scope: What You Can Do

This Tier Two License grants limited royalty-free commercial use rights to individuals or businesses delivering live and pre-recorded wellness, therapeutic, or meditative content under the conditions outlined below.

✅ Permitted Uses

You may use the licensed sound therapy track(s):

• During live 1-on-1 sessions and medium group sessions of up to 25 participants, either in person or via platforms such as Zoom, Skype, etc.

• In free or gifted programs, including free online courses, provided credit is clearly given to Best Binaurals (e.g., “Music by Best Binaurals”).

• In paid offerings including both:
  • Live courses, coaching programs, memberships, and events

  • Pre-recorded content for online courses, programs, or memberships
    (Credit to Best Binaurals is required for all paid offerings.)

• Included in digital products for resale, such as apps, downloadable content, course bundles, and similar products (credit required).

• Track modifications are available as a paid add-on (optional).

• Your usage is royalty-free — no ongoing royalties are required.

• A formal license certificate is provided upon purchase for your records.

This license supports your professional wellness work while protecting the creative integrity and exclusivity of the tracks.

• Uploading or distributing the track(s) on public platforms (e.g., Insight Timer, YouTube, Spotify, SoundCloud) as standalone content or under your name. Use is only permitted when embedded within your own non-monetized branded content (e.g., free video classes) and with appropriate credit, unless covered by a white-label agreement.

• Customizing, rebranding, white-labeling, or claiming authorship of the track(s) without an approved white-label license. This includes registering the music with rights management systems (e.g., Content ID, PROs).

• Modifying, remixing, or editing the tracks beyond the scope of approved paid add-on services or written permission.
